Prooxy reserves the right to refuse, restrict or cancel an order where there are reasonable grounds to believe the information provided is inaccurate, fraudulent or being used for unlawful purposes.

You are responsible for keeping your account information accurate and for maintaining the security of your credentials, and should notify Prooxy immediately if you believe your account has been accessed without authorization.

Prooxy may suspend or terminate an account where there is reasonable evidence of:

• Abuse of the website
• Violation of these Terms
• Unlawful activity

Prooxy sells apparel and related lifestyle products. We make reasonable efforts to ensure accurate product name, images, description, fabric information, size, colour, design, price and availability — however, minor variations may occur.

Colour

Actual product colours may vary slightly from images shown on your screen due to device displays, screen settings, photography, lighting or manufacturing variations. Such minor variations do not necessarily constitute a product defect.

Customers are responsible for selecting the appropriate size. Prooxy may provide a size chart for products — we strongly recommend reviewing it before ordering. Measurements may have reasonable manufacturing tolerances.

A size-related return or exchange will be governed by the applicable Return & Refund Policy.

Prooxy products may contain original artwork, graphic designs, illustrations, characters, themes, typography and other creative elements. Some products may also contain a Print Story describing the inspiration or concept behind a design, provided for informational, creative and branding purposes.

Descriptions of inspiration or fictional themes should not automatically be interpreted as statements that Prooxy owns or is affiliated with any third-party character, trademark, franchise or IP unless expressly stated. Where Prooxy uses third-party IP under a lawful license or permitted basis, applicable rights remain with the relevant rights holder.

All Prooxy-owned or Prooxy-created website content and brand materials — including the Prooxy name, logo, brand identity, website design, original graphics/artwork, product photography, descriptions, Print Stories, text, layout, icons, videos and marketing materials — are owned by or licensed to Skyline Shopper/Prooxy and protected under applicable IP laws.

You may access and use website content solely for personal, non-commercial purposes connected with legitimate use of the website. Without prior written permission you must not copy, reproduce, modify, republish, distribute, sell, license, create derivative works from, or commercially exploit Prooxy-owned content.

Certain names, logos, characters, trademarks, franchises or other IP appearing on products or website content may belong to their respective owners. Nothing on this website grants you ownership of third-party IP.

Where applicable, Prooxy's use of third-party IP is subject to the relevant authorization, license or legally permissible use. All third-party trademarks remain the property of their respective owners.

All prices displayed on Prooxy are in Indian Rupees (INR) unless otherwise stated. Prices may change from time to time; a price change will not affect an order already successfully confirmed, except where an order is affected by an obvious pricing or technical error.

Where applicable, taxes/GST and applicable charges will be displayed or reflected in the order summary.

Where a product displays an MRP, discount or promotional price, the applicable information will be shown on the product or checkout page. Promotional offers may be product-specific, category-specific, time-limited, quantity-limited, customer-specific or subject to additional conditions.

Unless expressly stated, promotions cannot be combined. Prooxy reserves the right to withdraw or modify a promotional offer where permitted by applicable law.

You may place an order by selecting products, adding them to your cart and completing checkout. Before payment or order confirmation, you should review product, size, quantity, price, shipping address, contact information, shipping charges, applicable taxes, discounts and final amount payable.

You are responsible for ensuring that all information provided during checkout is accurate.

Submitting an order constitutes a request to purchase the selected products. An automated acknowledgement does not necessarily mean Prooxy has accepted the order in every circumstance — an order may be subject to verification.

Prooxy may cancel or refuse an order where reasonably necessary because of:

• Product unavailability, incorrect pricing or technical errors
• Suspected fraud or duplicate orders
• Invalid customer information
• Delivery limitations or payment failure
• Other legitimate operational or legal reasons

Where payment has already been received for a cancelled order, the amount will be refunded per the applicable refund process.

Although Prooxy makes reasonable efforts to maintain accurate pricing and product information, technical or human errors may occasionally occur. If an obvious error affects an order, Prooxy may contact you before fulfilling it.

Where an order cannot reasonably be fulfilled because of such an error, Prooxy may cancel the affected order and refund any amount already paid.

Prooxy may provide multiple payment methods. Online payment processing may currently be provided through PhonePe. Depending on availability, options may include UPI, debit cards, credit cards, net banking, wallets or other methods supported by the gateway.

Payment methods may change based on availability and payment-provider requirements.

Prooxy may offer Cash on Delivery (COD) for eligible orders and locations. COD availability may depend on delivery location, order value, product, courier availability, customer history, operational considerations and fraud-prevention measures.

Prooxy may restrict or disable COD for certain orders or locations where reasonably necessary. For COD orders, the applicable amount must be paid to the authorized delivery partner at the time of delivery.

If an online payment fails, is declined or remains incomplete, the order may not be successfully confirmed. If money has been debited but the order is not confirmed, please contact Prooxy with the relevant transaction information.

We will investigate and process any applicable refund in accordance with the payment provider's transaction status and applicable refund procedures.

Orders are shipped to eligible locations in India using available logistics/courier partners. Delivery timelines displayed on the website are estimates and may vary because of courier delays, weather, natural events, public holidays, remote locations, incorrect address information, customer unavailability, operational disruptions and other circumstances outside Prooxy's reasonable control.

Customers must provide accurate name, mobile number, email address, house/building information, street/locality, city, state and PIN code. Prooxy is not responsible for delays or failed deliveries caused by incorrect or incomplete information supplied by the customer.

If a customer provides an incorrect address after dispatch, additional delivery or reshipping charges may apply where permitted under our applicable policies.

Courier partners may make multiple delivery attempts according to their applicable procedures. Customers should remain available or provide accurate delivery instructions where possible.

If an order is returned to Prooxy due to incorrect address, customer refusal, repeated failed attempts, unavailability or incomplete delivery information, the applicable cancellation, refund or reshipping process will be governed by our Shipping and Return/Refund Policies.

Returns, exchanges and refunds are subject to Prooxy's Return & Refund Policy, which may specify eligible products, return period, exchange conditions, product condition and tag/packaging requirements, non-returnable products, refund method, processing time and return shipping requirements.

Please review the Return & Refund Policy before purchasing.

Customers may request cancellation of an order before dispatch, subject to our Cancellation Policy. Once dispatched, cancellation may no longer be possible.

Where cancellation is accepted after payment, the applicable refund will be processed according to our Refund Policy and payment-provider procedures.

If a product arrives damaged, defective or materially different from what was ordered, contact Prooxy within the time period specified in our Return & Refund Policy.

We may request the order number, photographs, video evidence where reasonably required, packaging photographs, product photographs and a description of the issue, used to investigate the complaint and determine the appropriate resolution.

Where Prooxy permits customers to submit reviews, ratings, photographs, videos, comments, feedback or testimonials, you are responsible for ensuring submitted content is lawful and does not violate another person's rights.

You must not submit content that is unlawful, defamatory, threatening, abusive, contains malicious code, infringes IP rights, violates privacy, contains unauthorized personal information, is fraudulent/misleading, or promotes illegal activity.

Prooxy may remove content that violates these Terms or applicable law.

Customers should provide honest and genuine reviews based on their actual experience. You must not submit fake reviews, submit misleading reviews for products you did not purchase, manipulate ratings, submit reviews on another's behalf, use reviews to promote unlawful activity, or include another person's personal information without authorization.

Prooxy may moderate or remove reviews that violate applicable policies or law.

You agree to use Prooxy only for lawful purposes. You must not attempt unauthorized access, interfere with website operation, introduce malware, scrape content for unauthorized commercial purposes, use automated systems to abuse the website, attempt to circumvent security measures, create fraudulent accounts, place fraudulent orders, use stolen payment information, impersonate another person, or use the website unlawfully.

Prooxy may restrict access where necessary to protect the website, customers or business.

Prooxy may use reasonable fraud-prevention and security measures. Orders may be reviewed where there are reasonable indicators of fraud, payment abuse, multiple suspicious orders, unauthorized payment activity, false customer information, repeated COD refusals, or abuse of promotional offers.

Where reasonably necessary, Prooxy may contact the customer to verify an order.

Unless otherwise stated: one promotional code may be used per order; codes may have an expiry date; codes may be limited to specified products or customers; codes may not be exchanged for cash; codes obtained fraudulently may be cancelled.

Prooxy reserves the right to withdraw or cancel promotional codes where permitted by applicable law.

Certain Prooxy products may be released in limited quantities. Where a product is described as limited edition, availability may be restricted to the quantity stated or otherwise made available.

A limited-edition product does not guarantee future availability or restocking.

Some Prooxy products may contain QR codes, NFC tags or other digital features linking to online pages, personal profiles, product stories or other digital content. Where provided:

• Availability may depend on internet connectivity
• Digital services may be modified or updated
• Certain third-party services may become unavailable
• Prooxy may not guarantee uninterrupted availability of third-party platforms
• Users must not use such features for unlawful or abusive purposes

Where a product allows a customer to create or update a personal profile, the customer is responsible for the content they publish.

Prooxy may integrate or link to third-party services including payment, analytics, advertising, communication, social-media and logistics services — for example PhonePe, Google Analytics, Meta/Facebook, WhatsApp and courier/logistics providers.

Your use of third-party services may also be governed by the relevant third party's terms and policies. Prooxy is not responsible for independent third-party services outside our control.

Your use of Prooxy is also governed by our Privacy Policy, which explains how we collect, use, disclose, retain and protect personal data. By using Prooxy, you acknowledge that you have had an opportunity to review it.

Prooxy provides the website and its content on a reasonable-efforts basis. We make reasonable efforts to ensure displayed information is accurate and current, but do not guarantee that every product will always be available, the website will always be uninterrupted, all information will always be error-free, product colours will exactly match screen images, delivery estimates will always be met, or third-party services will always be available.

Nothing in these Terms is intended to exclude or limit any consumer right or legal protection that cannot lawfully be excluded or limited under applicable Indian law.

To the maximum extent permitted by applicable law, Prooxy will not be responsible for losses arising solely from circumstances beyond our reasonable control.

Nothing in these Terms limits or excludes liability that cannot legally be limited or excluded under applicable law, or deprives consumers of rights available under applicable Indian consumer-protection laws.

Prooxy will not be responsible for delays or failure to perform obligations caused by circumstances beyond our reasonable control, including natural disasters, floods, earthquakes, fire, war, civil disturbances, government restrictions, epidemics/pandemics, strikes, major infrastructure failures, internet/telecommunications failures, or courier/logistics disruptions.

Where such an event affects an order, Prooxy will take reasonable steps to minimize the impact.

These Terms are governed by the laws of India. Nothing in these Terms is intended to restrict any mandatory rights or remedies available to consumers under applicable Indian law.
